Terms of Service

Arc-Tec Ledger is currently a private, invite-only pilot. No paid plans are active yet — the Team and Business tiers on the pricing page describe what launches after the pilot. These Terms will be updated with billing-specific clauses (auto-renewal, refunds) before any charge is made.

1. Introduction & Acceptance

These Terms of Service (“Terms”) govern your access to and use of Arc-Tec Ledger (“Service”, “we”, “us”), a project decision-and-handoff ledger operated from India. By creating an account, accepting an invite, or using any part of the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Service.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and legally capable of entering a binding contract. If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

3. Accounts, Workspaces & Security

  • You are responsible for all activity under your account.
  • Authentication is handled by Clerk; keep credentials confidential and notify us immediately of any suspected unauthorized access.
  • Workspace roles (owner, lead, stakeholder, member) govern who may invite or remove members, per the rank rules shown in each workspace's Members page. Membership changes are recorded on the ledger and cannot be edited or deleted.
  • We may suspend or terminate accounts that violate these Terms, exhibit fraudulent activity, or create legal or security risk.

4. The Ledger

Every recorded action — item creation, handoffs, status changes, membership changes — is appended to an immutable, hash-chained record and cannot be edited or deleted through the Service. You are responsible for the accuracy of what you and your workspace members record; the ledger proves an entry was not altered after the fact, not that its contents were true when written.

5. Acceptable Use

You agree not to:

  • Violate any law, regulation, or third-party right;
  • Upload malware, spam, or harmful content;
  • Reverse-engineer, decompile, or attempt to extract source code;
  • Scrape, copy, or resell the Service or its content;
  • Interfere with or overload our infrastructure;
  • Use the Service to process data you are not authorised to process;
  • Impersonate another person or misrepresent your affiliation.

6. User Content & Data Ownership

You retain all rights to the content you or your workspace create (projects, blueprints, work items, decisions, comments — “User Content”). You grant us a limited, worldwide, royalty-free licence to host, process, and display User Content solely to operate the Service on your behalf. We do not sell User Content.

7. Third-Party Services

The Service integrates with Clerk (authentication), Convex (database and serverless functions), and Vercel (hosting). Your use of these services is subject to their respective terms and privacy policies.

8. Intellectual Property

The Service, including its code, design, trademarks, and documentation, is owned by Arc-Tec and protected by applicable intellectual-property laws. Nothing in these Terms grants you any right in our intellectual property beyond the limited licence to use the Service as described here.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AS A PILOT, THE SERVICE MAY CHANGE OR BE DISCONTINUED WITHOUT NOTICE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARC-TEC AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING FROM USE OF THE SERVICE DURING THE PILOT.

11. Termination

We may suspend or terminate your access immediately, without notice, if you breach these Terms, create legal or security risk, or for extended non-use. You may leave a workspace or delete your account at any time; on termination, your right to use the Service ceases and we may delete your User Content after 30 days.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any dispute will be resolved exclusively in the courts of Pune, Maharashtra, India, unless mandatory consumer-protection law in your jurisdiction provides otherwise.

13. Changes to These Terms

We may update these Terms. Material changes will be notified in-app or by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
